These Website Terms of Use ("Terms") govern your access to and use of Cognitrio LLC's public-facing websites, including any pages, forms, scheduling/booking features, careers portals, and related content (collectively, the "Website").

These Terms apply to:
- (a) cognitrio.com and cognitrio.co.uk;
- (b) any subdomains associated with those domains (for example, portal.cognitrio.com or careers.cognitrio.co.uk); and
- (c) any other website or web page operated by Cognitrio that expressly links to these Terms.
BUSINESS USE ONLY
The Website is intended solely for use by businesses, organizations, and professionals acting in a business/professional capacity ("Business Users"). By accessing or using the Website, you represent and warrant that you are acting in a professional capacity and not as a consumer.
If you do not agree to these Terms, you must not use the Website.

3. PRIVACY AND DATA PROTECTION
Your use of the Website is subject to our Privacy Policy, which explains how we collect, use, and process personal data (including for users in the United Kingdom and European Economic Area (EEA)). The Privacy Policy also describes our use of consultation booking workflows, and (where enabled and disclosed) the recording and transcription of initial consultations.
For the purposes of the UK General Data Protection Regulation ("UK GDPR"), Cognitrio LLC is the "controller" of personal data processed in connection with the Website (except where a different arrangement is stated in a separate written agreement).
4. CHANGES TO THESE TERMS
We may update these Terms from time to time. The "Last Updated" date above indicates when these Terms were last revised. Updated Terms are effective when posted. Your continued use of the Website after updated Terms are posted means you accept the updated Terms.
5. WEBSITE PURPOSE; NO RELIANCE; NO PROFESSIONAL ADVICE
5.1 Informational Purpose
The Website is provided for general informational purposes regarding our consulting, build, and run services, solution examples, pricing information, careers, and insights/blog content.
5.2 No Professional Advice
Insights, blogs, case examples, and other content on the Website are provided for general informational purposes only and do not constitute legal, financial, tax, compliance, security, or other professional advice. You should not act upon Website content without obtaining professional advice tailored to your circumstances.
5.3 Non-Binding Nature of Website Content
- (a) No Offers: Website content is not a binding offer, statement of work (SOW), proposal acceptance mechanism, or guarantee of results.
- (b) Estimates Only: Any pricing, packages, "starting at" figures, timelines, or examples are non-binding estimates and may change without notice.
- (c) Services Agreement Controls: Cognitrio provides services only under a separate written services agreement executed by authorized signatories (e.g., Master Services Agreement, Statement of Work, Order Form, or equivalent) (a "Services Agreement"). If there is any conflict between these Terms and a Services Agreement, the Services Agreement controls for the services it covers.
6. WRITTEN AGREEMENT REQUIRED; NO SERVICES CREATED BY WEBSITE COMMUNICATIONS
Cognitrio provides services only under a Services Agreement executed by authorized signatories. Execution may occur via an approved e-signature platform or another execution method accepted by Cognitrio that produces an executed copy and audit trail.
No email, message, meeting, call, proposal discussion, or other pre-contract communication creates a binding Services Agreement unless and until incorporated into a fully executed Services Agreement.
7. INQUIRIES, CONSULTATIONS, AND BOOKINGS
If you submit inquiries or book consultations through the Website, you agree to:
- (a) provide accurate and current business contact information;
- (b) not impersonate any person or misrepresent your identity or affiliation; and
- (c) not submit unlawful content.
Initial consultations may be recorded and transcribed where enabled and disclosed; details and choices are described in our Privacy Policy.
DO NOT SUBMIT SENSITIVE INFORMATION
You agree not to submit (through standard Website forms or booking flows) Protected Health Information (PHI) or other highly sensitive personal data, including special category data (e.g., health, biometric identifiers, precise geolocation) or confidential information (including trade secrets), unless we have expressly agreed in writing beforehand (for example, under a signed NDA and with appropriate secure intake methods).
NO CONFIDENTIALITY BY DEFAULT
Submissions made through the Website are not considered confidential unless and until we have expressly agreed in writing.
We may decline, cancel, reschedule, or discontinue consultations or Website features at our discretion.
8. ACCESS AND ACCEPTABLE USE
8.1 Permitted Use
You may use the Website only for lawful business purposes and in accordance with these Terms.
8.2 Prohibited Uses
You must not (and must not attempt to):
- (a) Violate Security: Probe, scan, or test the vulnerability of the Website; bypass security or authentication measures; or access non-public areas of the Website or our systems.
- (b) Automated Access / Scraping / Harvesting: Use any robot, spider, scraper, crawler, or other automated means to access the Website to copy materials, extract data, or monitor the Website without our prior written consent, except where such restriction is prohibited by applicable law.
- (c) AI Training / Model Development: Use Website content or data accessed via the Website (including text, images, layouts, and metadata) to train, fine-tune, benchmark, or develop artificial intelligence or machine learning models without our prior written consent, except where such restriction is prohibited by applicable law.
- (d) Disrupt Services: Introduce viruses, trojan horses, worms, logic bombs, or other malicious material; or attack the Website via denial-of-service (DoS) or distributed denial-of-service (DDoS).
- (e) Misrepresent: Impersonate any person or entity, including Cognitrio personnel, or misrepresent your affiliation with Cognitrio.
- (f) Unlawful or Harmful Conduct: Use the Website in any way that infringes, misappropriates, or violates intellectual property or other rights, or that is unlawful, defamatory, obscene, abusive, or harmful.
8.3 Monitoring and Enforcement
We may monitor Website use for security, operational integrity, and legal compliance. We may suspend, restrict, or block access to the Website (in whole or in part) to protect the Website, Cognitrio, our providers, or others.
8.4 Account Security and Portal Credentials
To access certain areas of the Website (such as client or applicant portals), you may be required to authenticate using a third-party identity provider (for example, Google).
You are solely responsible for maintaining the security and confidentiality of your third-party account credentials and agree to accept responsibility for all activities that occur under your authenticated session.
You must notify us immediately at legal@cognitrio.com if you discover or suspect unauthorized access to or use of your portal account.
We may require credential resets, suspend access, or take other reasonable steps to protect the Website, our systems, and users.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Ownership
The Website and its entire contents (including text, graphics, logos, images, video, articles, and software) are owned by Cognitrio LLC, its licensors, or other providers and are protected by U.S., UK, and international intellectual property laws.
9.2 Trademarks
Cognitrio™, COGNITRIO, and the Cognitrio logo (together, the "Cognitrio Marks") are trademarks of Cognitrio LLC. You must not use the Cognitrio Marks without our prior written permission, including in any manner that suggests affiliation, endorsement, or sponsorship.
No license: except for the limited right to access and view the Website as expressly granted in these Terms, nothing in these Terms grants you any right, title, or interest in or to the Cognitrio Marks, and all goodwill arising from any use of the Cognitrio Marks inures solely to Cognitrio LLC.
Third-party marks: All other trademarks, logos, service marks, and trade names appearing on the Website are the property of their respective owners and are used for identification purposes only.
9.3 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website solely for your internal business evaluation purposes.
You must not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Website content without our express written permission, except as permitted by applicable law.

10. SUBMISSIONS AND FEEDBACK
10.1 Submissions
"Submissions" include information you submit through the Website, such as messages, booking details, application materials, and any files you upload (if enabled).
You represent and warrant that you have the right and authority to provide the Submissions and that the Submissions do not violate applicable law or third-party rights.
You grant Cognitrio a limited, worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process your Submissions solely to:
- (a) respond to you and provide requested information,
- (b) schedule/manage consultations,
- (c) evaluate job applications (where applicable),
- (d) operate, secure, troubleshoot, and improve the Website, and
- (e) maintain appropriate business records.
10.2 Feedback
If you provide suggestions or feedback about the Website or our services, you agree we may use it without restriction or compensation.
10.3 DMCA / Copyright Infringement Notices
Cognitrio respects the intellectual property rights of others. If you believe that any material on the Website infringes a copyright that you own or control, you may send a written notice under the U.S. Digital Millennium Copyright Act (DMCA) to our designated agent at legal@cognitrio.com.
For purposes of this Section 10.3, material on the Website includes: (a) user-uploaded or user-submitted content we store or display (for example, images, videos, audio, PDFs, text, and code); (b) content published by Cognitrio on the Website (including pages, posts, and downloadable files); (c) content hosted at a URL on a domain we control; and (d) links, references, search results, indexes, or other information-location tools displayed on the Website that identify or point to content.
This DMCA process applies only to alleged copyright infringement and does not apply to trademark or other non-copyright claims.
To be effective, a DMCA notice should include:
- a physical or electronic signature of the copyright owner or authorized agent;
- identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by one notice, a representative list of such works;
- identification of the allegedly infringing material or information location on the Website and information reasonably sufficient for us to locate it (for example, the URL of the page where the material, link, reference, or search result appears, and the destination URL if applicable);
- information reasonably sufficient to permit us to contact you (such as your name, mailing address, telephone number, and email address);
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the notice information is accurate and that you are authorized to act on behalf of the copyright owner.
Upon receipt of a compliant notice, we may remove or disable access to the challenged material, notify the submitting party where appropriate, and handle any counter-notice in accordance with applicable law.
11. CAREERS
If you apply for a position via the "Careers" section or a careers portal linked from the Website:
- (a) you warrant that all information you provide, including resumes and application materials, is true, accurate, and complete;
- (b) you acknowledge that submitting an application does not guarantee an interview or employment offer;
- (c) misrepresentation or omission during the application process may result in rejection of your application or termination of employment if discovered after hiring; and
- (d) you acknowledge that all open positions are based in the United States (specifically New York), and any employment relationship established is "at-will," meaning it can be terminated by either party at any time, with or without cause or notice, subject to applicable New York and federal law.
Your application data will be handled in accordance with our Privacy Policy.
12. THIRD-PARTY LINKS AND SERVICES
The Website may contain links to third-party sites or resources (e.g., social media, embedded content, or third-party tools). We do not control those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
reCAPTCHA Enterprise
We use Google reCAPTCHA Enterprise to protect the Website from spam and abuse. Use of reCAPTCHA is subject to Google's Privacy Policy and Terms of Service:
13. DISCLAIMER OF WARRANTIES
THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND.
TO THE FULLEST EXTENT PERMITTED BY LAW, COGNITRIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.
14. LIMITATION OF LIABILITY
14.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, COGNITRIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF USE, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE WEBSITE, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Liability Cap
TO THE FULLEST EXTENT PERMITTED BY LAW, COGNITRIO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- (a) ONE HUNDRED U.S. DOLLARS (US $500); OR
- (b) THE AMOUNT YOU HAVE PAID TO COGNITRIO SPECIFICALLY FOR ACCESSING THE WEBSITE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM (IF ANY).
14.3 Non-Excludable Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including (where applicable) liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Cognitrio LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- (a) your violation of these Terms;
- (b) your misuse of the Website; or
- (c) your Submissions, including any allegation that your Submissions infringe, misappropriate, or violate third-party rights or applicable law.
16. PROMOTIONS AND CREDITS
From time to time, we may offer promotions, discounts, or credits (including a "Momentum Credit").
Promotion-specific terms, including eligibility criteria, credit values, redemption windows, restrictions, expirations, and exclusions, are governed by the applicable Services Agreement, Order Form, SOW, written proposal, or dedicated promotional terms and conditions that accompany the offer.
If there is a conflict between this Section 16 and specific promotional terms, the specific promotional terms control for that promotion.
Promotions are optional, may be modified or discontinued prospectively, and do not create an entitlement to any future discount, credit, or incentive.
17. GOVERNING LAW AND JURISDICTION
17.1 Governing Law
All matters relating to the Website and these Terms shall be governed by and construed in accordance with the internal laws of the State of New York, USA, without giving effect to any choice or conflict of law provision or rule.
17.2 Exclusive Jurisdiction
Subject to any mandatory provisions of applicable law that apply to you, any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York located in the City of New York, and you consent to personal jurisdiction and venue in such courts.
18. GENERAL
Severability:
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver:
Failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment:
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
Entire Agreement:
These Terms constitute the entire agreement between you and Cognitrio regarding your use of the Website and supersede any prior or contemporaneous understandings relating to the Website.
Survival:
Any provisions of these Terms that, by their nature, should survive termination or expiration of your use of the Website shall survive. This includes, without limitation, Section 5 (Website Purpose; No Reliance), Section 9 (Intellectual Property Rights), Section 10 (Submissions and Feedback), Section 13 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 15 (Indemnification), and Section 17 (Governing Law and Jurisdiction).
